1. Agreement to Terms

By accessing or using Paddly.io ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

Paddly.io provides AI-powered customer relationship management (CRM) software delivered via web and mobile applications. The Service includes pipeline management, AI-generated suggestions, deal risk alerts, and integrations with third-party services.

3. Account Registration

To use the Service, you must:

Create an account with accurate and complete information
Be at least 18 years old
Maintain the security of your account credentials
Notify us immediately of any unauthorized access

You are responsible for all activities that occur under your account.

4. Acceptable Use

You agree NOT to:

Upload content that is unlawful, defamatory, or infringes on intellectual property rights
Use the Service for spam, phishing, or other abusive activities
Attempt to reverse-engineer, decompile, or disassemble the Service
Interfere with or disrupt the Service or servers
Access the Service through automated means without authorization
Violate any applicable laws or regulations
Share account credentials with unauthorized users

5. Your Data

You retain ownership of all data you input into the Service ("Your Data"). By using the Service, you grant us a license to use Your Data solely to provide and improve the Service. See our Privacy Policy for details on data handling.

AI Processing: Your Data may be processed by AI systems to generate suggestions and insights. This processing is performed in isolation for your benefit only and is never used to train public models.

6. Subscriptions and Billing

Plans: We offer Starter, Pro, and Team subscription plans with varying features and limits.

Billing: Plans are billed monthly or annually as selected. Prices are in USD and exclude applicable taxes.

Renewal: Subscriptions automatically renew unless cancelled before the renewal date.

Cancellation: You may cancel at any time through the billing portal. Access continues until the end of the current billing period.

Refunds: We offer a 14-day money-back guarantee for new subscriptions. After 14 days, refunds are provided at our discretion.

7. AI Credits and Usage

AI features are subject to monthly credit limits based on your plan. Unused credits do not roll over. We will notify you when approaching limits. Exceeding limits may result in temporary feature restrictions.

8. Third-Party Integrations

The Service may integrate with third-party services (Gmail, Outlook, Google Calendar, etc.). Your use of these integrations is subject to their respective terms of service. We are not responsible for third-party services.

9. Intellectual Property

The Service, including its design, features, and content (excluding Your Data), is owned by Paddly.io and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

10. Privacy

Your privacy is important to us. Please review our Privacy Policy which explains how we collect, use, and protect your personal data in compliance with PDPA Singapore.

11. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be unavailable due to:

Scheduled maintenance (with advance notice when possible)
Emergency repairs
Factors beyond our control

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

The Service is provided "AS IS" without warranties of any kind
We do not warrant that the Service will be error-free or uninterrupted
We are not liable for indirect, incidental, special, or consequential damages
Our total liability is limited to amounts paid by you in the 12 months preceding the claim

13. Indemnification

You agree to indemnify and hold harmless Paddly.io and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

14. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with notice. Upon termination:

Your right to use the Service ceases immediately
You may export your data within 30 days
We may delete your data after the export period

15. Modifications to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance of the modified Terms.

16. Governing Law

These Terms are governed by the laws of Singapore. Any disputes arising from these Terms shall be resolved in the courts of Singapore.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Paddly.io regarding the Service.
